Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Lucent Enterprises Ltd., a corporation incorporated in British Columbia, Canada ("Company," "we," "our," or "us") regarding your use of the Stacklane GitHub App and related services (collectively, the "Service").
By installing, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
Service Description
Stacklane is a GitHub App that automatically detects stacked pull requests and posts informational comments to help visualize PR dependencies. The Service integrates with GitHub's API to analyze repository metadata and provide stack visualization without accessing your source code.
The Service is provided free of charge for both public and private repositories. We reserve the right to introduce paid features or modify our pricing structure with advance notice.
Eligibility and Account Requirements
To use the Service, you must have a valid GitHub account and be authorized to install GitHub Apps on the repositories where you wish to use Stacklane. You must be at least 13 years old and have the legal capacity to enter into these Terms.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Installation and Use
GitHub App Installation
You may install the Stacklane GitHub App on repositories where you have appropriate permissions. Installation constitutes acceptance of these Terms. You are responsible for ensuring you have proper authorization to install the App on any repository.
Permitted Use
You may use the Service for its intended purpose of visualizing stacked pull requests. You agree to use the Service in compliance with all applicable laws, GitHub's Terms of Service, and these Terms.
Prohibited Use
You may not use the Service to violate any laws, infringe intellectual property rights, attempt to reverse engineer or hack the Service, use the Service for competing products, overwhelm our systems with excessive requests, or use the Service in any manner that could damage or impair our systems or other users' experience.
GitHub Integration and Data Access
The Service requires specific GitHub permissions to function. By installing the App, you grant us permission to access repository metadata, pull request information, and post comments as described in our Privacy Policy. We do not access your source code, repository contents, or sensitive data beyond what is necessary for stack visualization.
Your use of GitHub remains subject to GitHub's Terms of Service. We are not responsible for GitHub's availability, policies, or actions.
Intellectual Property Rights
Our Rights
The Service, including all software, algorithms, designs, and documentation, is owned by Lucent Enterprises Ltd. and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service as provided.
Your Rights
You retain all rights to your repositories, code, and data. By using the Service, you grant us a limited license to access and process your repository metadata solely for providing the Service as described in our Privacy Policy.
Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.
Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may experience downtime for maintenance, updates, or due to factors beyond our control.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice. We may also update these Terms as described in the "Changes to Terms" section.
Disclaimers and Limitations
Service Provided "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or continuously available.
Limitation of Liability
To the maximum extent permitted by law, Lucent Enterprises Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising from your use of the Service, even if we have been advised of the possibility of such damages.
Maximum Liability
Our total liability to you for all claims arising from or relating to the Service shall not exceed $100 CAD or the amount you paid us in the 12 months preceding the claim, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless Lucent Enterprises Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
Termination
Termination by You
You may terminate your use of the Service at any time by uninstalling the GitHub App from your repositories and discontinuing use of any associated accounts.
Termination by Us
We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in prohibited activities, or if required by law. We may also terminate the Service entirely with 30 days' notice.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will handle your data according to our Privacy Policy, including deletion timelines described therein.
Governing Law and Dispute Resolution
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in British Columbia, Canada, except that either party may seek injunctive relief in court for intellectual property violations.
You waive any right to participate in class action lawsuits or class-wide arbitrations against us.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms without restriction.
Changes to Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will provide at least 30 days' advance notice via email (if you have an account) or through prominent notice in the Service.
Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Service.
